1. Salient terms of Eligibility Criteria (not the entire terms of the RFP)

A. Basic Eligibility Criteria

1. Interested Party shall be a company incorporated under the Companies Act 1956/2013 or similar laws;

2. Interested Party shall not be an entity having any interest/control in any airline operator or is controlled by or under common control of any airline operator (whether domestic or international) (whether by way of equity or otherwise);

3. Interested Party shall not be eligible to submit the Proposal and shall be summarily disqualified and such Interested Party’s Proposal shall not be evaluated if it or its Affiliate(s), its directors or key personnel is currently barred or blacklisted/debarred by DIAL or any of its group entity as on the Proposal Due Date. The Proposal Due Date will be provided in the Request for Proposal document.

4. Interested Party shall not be eligible to submit the Bid and if submitted, it shall be summarily disqualified and not evaluated where any winding-up, insolvency, liquidation, dissolution or bankruptcy petition, whether voluntary or otherwise, has been filed in the jurisdictional court or authority by or against such entity.

B. Specific Eligibility Criteria

I. Technical Eligibility Criteria

The Interested Party shall be a company having either itself or through its Affiliate, experience of operating and managing Foreign Exchange business at any Airport across the world for the Financial Year 2023-2024.

II. Financial Eligibility Criteria

The Interested Party shall have an annual turnover of at least Rs.10,00,00,000/- (Rupees Ten Crores) as per the audited balance sheet in each of the Financial Years 2021-2022, 2022-23 & 2023-24.

2. The Interested Parties shall submit the below documents to DIAL at the email ID - DIAL.FOREXRFP@gmrgroup.in.

(i) Scanned copy of the duly signed Confidentiality Undertaking (as attached) by the authorized signatory of the Interested Party along with the Board Resolution in the favour of the person signing the Confidentiality Undertaking;

(ii) Documents to establish the Basic Eligibility Criteria and Specific Eligibility Criteria.

• (a) The Interested Party shall submit certificate from practicing charted accountant and audited financial statement for the relevant Financial Years confirming the turnover as mentioned herein above;
• (b) The Interested Party shall submit Certificates / Undertakings / Documents, including supporting contracts, in order to establish the Interested Party’s Technical Criteria;
• (c) Interested Party shall submit duly self- certified copy of the certificate of incorporation / certificate of commencement of business (wherever applicable) and confirmation of compliance with other requirements of Basic Eligibility Criteria as mentioned above.

Note-

“Affiliate / Group Entity” with respect to an entity shall mean any person which, (a) Controls such entity, (b) is Controlled by such entity, or (c) is Controlled by the same person who, Controls such entity.

“Control” shall mean: (i) the right to appoint majority of the directors or to control the management or policy decisions exercisable by a person acting individually, directly or indirectly, including by virtue of their shareholding or management rights or shareholders’ agreements or voting agreements or in any other manner; or (ii) to have the direct and / or indirect shareholding (cumulative) of more than 50% (Fifty percent) in the issued and paid-up share capital whether itself and/ or through one or more subsidiaries. The terms “Controls” and “Controlled by” shall be construed accordingly.

3. Upon receipt of the above said documents, DIAL either, through itself or through its representative will review the details and documents furnished by the interested party, and thereafter, share the RFP and the License Agreement to such interested party who are found eligible as per the Eligibility Criteria provided in this document.

4. DIAL reserves the right to: (i) not release or furnish the RFP and the License Agreement and / or any information contained therein to any interested party(ies) without assigning any reasoning whatsoever; or withdraw the RFP and the License Agreement. It is hereby clarified that DIAL shall also examine the documents as submitted along with the Proposal and if any discrepancy/ies are found between the documents submitted in response to this Tender Announcement and the documents submitted along with the Proposal, DIAL shall the right to reject or disqualify the Proposal of the said Interested Party without any liability of whatsoever nature and the Bid Security of such Interested Party shall be forfeited/encashed.

5. The detailed Bid Schedule, other requirements of the License are provided in the RFP and the License Agreement.

6. Last date of request for RFP along with the documents as mentioned in this Notice is 27^th December 2024 till – 1700 Hrs.
